IntFusion NG PC Suite
In short: these Terms govern how a business buys IntFusion NG PC Suite licences and offers the software to its own end users under its own brand.
- We sell only to businesses, through an account we open after discussing your needs. Orders are placed in our Client Portal, and prices are in pounds sterling (GBP) excl. VAT.
- Prices are per licence per year: each licence lasts 12 months from activation and is paid up front. There are no subscriptions and nothing renews automatically.
- Every order has a minimum of 100 licences in total, Lite and Pro combined.
- While these Terms apply, you agree not to resell or white-label a competing PC care suite, and for 12 months after they end, not to supply one to the customers you served with NG PC Suite (sections 4.6 and 4.7).
- Each licence is locked to the hardware of the device it is activated on and cannot be moved to another device.
- Lite covers PC care and optimisation; Pro adds an encrypted password manager, a 2FA authenticator, phone and computer sync, AI tools and the Collabora Office suite (section 3.5).
- On activation we receive only the IP address, device name, device type, hardware ID and licence key ID. Pro password vaults are stored end-to-end encrypted, so we cannot read them.
- Every order is invoiced. Card payment in the portal is available for product orders up to £7,000 including VAT; larger orders and any services are paid by bank transfer (Faster Payments in the UK, SWIFT internationally). Licences are dispatched automatically once the invoice is paid.
- Every order has a 30-day no-questions-asked money-back guarantee, usable once per product by the business that bought from us (not its end users). See our Return & Refund Policy.
- You may sell the software to your own customers on any model you choose, including subscriptions, under your own brand and terms, and you are responsible for your end users.
These Terms and Conditions (the "Terms") form a contract between INTFUSION LTD, trading as "IntFusion" ("we", "us"), and the business for which we open an account to buy IntFusion NG PC Suite ("you" or the "Customer"). They take effect on, and were last updated on, 19 October 2026.
1. About us, these Terms and key definitions
1.1 INTFUSION LTD is registered in England and Wales (company number 14230179) with its registered office in Bristol, United Kingdom. Our full details are in section 28.
1.2 Each contract consists of: (a) your order placed in the Client Portal, and any written quote it refers to (the "Order"); (b) these Terms; (c) the NG PC Suite Return & Refund Policy; and (d) the Acceptable Use Policy. If they conflict, they apply in that order, except that an Order does not override sections 10, 14 or 19 unless it expressly says so. Our Privacy Policy explains how we use personal data as a controller.
1.3 We open accounts only for businesses, after discussing your requirements and verifying your business. We do not sell to consumers or to individuals buying for personal use. Each person who opens your account or places an Order confirms that they are authorised to bind you. If you are nevertheless a consumer, nothing in these Terms affects your statutory rights.
1.4 In these Terms: "Software" means IntFusion NG PC Suite, including its client applications for Windows, macOS, Linux, Android and iOS, the administration console, documentation and updates; "Platform" means the hosted systems we operate to deliver, license, activate and manage the Software; "Licence" means a 12-month licence to use the Software on one device, as described in section 3; "End User" means anyone to whom you supply, or for whom you activate, the Software, including your own customers; "EULA" means our NG PC Suite End User Licence Agreement; "Client Portal" means our Client Portal and store at /login; "Group" means you and any company that controls you, is controlled by you or is under common control with you; and "Business Day" means a weekday other than a public holiday in England.
2. Accounts, ordering and how the contract is formed
2.1 NG PC Suite cannot be bought directly from our website. The steps to buy are:
- contact us through our contact page or at sales@intfusion.net to discuss your requirements;
- once we have verified your business, we open an account for you and give you access to the Client Portal; you accept these Terms when your account is opened;
- in the Client Portal, choose the edition and number of Licences; before you confirm, the portal shows the price, VAT and total, these Terms and the Return & Refund Policy, and you can review and correct any errors;
- place the Order, which confirms your acceptance of these Terms and the Return & Refund Policy as they then stand; an invoice is generated for every Order;
- pay the invoice by card in the Client Portal or by bank transfer (section 7).
2.2 Each Order forms a separate contract on these Terms when you place it and its invoice is generated. We email you the invoice, stating the edition, number of Licences, price, VAT, total and the 12-month Licence term, and it remains available in the Client Portal. We may decline or cancel an Order before dispatch, for example if we suspect fraud or section 22 applies, and will refund anything paid.
2.3 Quotes are valid for the period they state. Contracts are concluded in English. Your Orders and the version of these Terms you accepted are kept in the Client Portal, and you can print or save these Terms from this page.
3. Editions, Licences and the Free evaluation
| Edition | Price per Licence (excl. VAT) | Minimum order |
|---|---|---|
| Free (evaluation) | £0, on request | As agreed for the evaluation |
| Lite | £47.99 per year, paid up front | 100 Licences per Order, Lite and Pro combined |
| Pro | £57.49 per year, paid up front | 100 Licences per Order, Lite and Pro combined |
3.1 Each Licence is invoiced for its full 12-month term and paid in full up front. Volume pricing may apply as quoted, and the price that binds us is the one on your invoice. Any promotion is subject to the conditions stated with it. The 100-Licence minimum applies to the total of each Order: Lite and Pro Licences in the same Order count together.
3.2 Each Licence lasts 12 months from the date it is activated on a device. Licence keys that have not been activated do not expire. There are no plans, billing periods or subscriptions between you and us, and nothing renews automatically. When Licences expire, you may place a new Order.
3.3 Each Licence is locked to the hardware of the device on which it is activated for its full 12-month term. It cannot be moved, transferred or reassigned to another device, and moving to a different device requires a new Licence. Reinstalling the operating system on the same device, or repairing or replacing parts of it, does not require a new Licence.
3.4 The Free evaluation is an extra option alongside the guarantee in section 10, offered on request for the period and number of Licences we confirm in writing. It needs no payment details, never converts into a paid Order and ends when the evaluation period expires (or earlier on our notice). It is provided "as is", without the service level in section 12.
3.5 What each edition includes. The features of each edition are described in section 5 of the EULA and summarised below. Availability of some features depends on the operating system.
| Edition | Features |
|---|---|
| Lite | Core PC optimiser; junk file clean-up; registry clean and repair; startup manager; smart defrag; manual driver checks and automatic driver updates with a daily database; PC and internet booster; privacy sweep and anti-tracking; software updater; scheduled automatic scans; and free email support. |
| Pro | Everything in Lite, plus: encrypted password manager with password generator and autofill; built-in two-factor authentication (2FA) authenticator; breach alerts and password health reports; contacts, tasks and calendar sync between smartphone and computer; AI auto cleanup and AI tools hub (optional, off by default); the Collabora Office suite; and priority support. |
3.6 Offline use. The Software needs an internet connection to activate. After activation, its core tools work offline for the full Licence term without further licence checks. Features that rely on online services, such as updates, the driver database, the software updater, password vault sync, breach alerts and the AI tools hub, need an internet connection.
4. White-label rights and your resale model
4.1 Subject to payment and these Terms, we grant you, for the term of each Licence, a non-exclusive, non-transferable right to brand the Software with your own names, logos and colours using the tools we provide, and to supply and activate it for your End Users, one device per Licence.
4.2 You may offer the Software to your customers on any commercial model you choose, including monthly or other subscriptions, under your own brand and your own terms. That is your relationship with your customers. Our contract with you is not a subscription, and the term of each Licence is not affected by your arrangements with End Users.
4.3 You license us to use your brand materials, royalty-free, only to deliver your branded Software.
4.4 The Software includes third-party and open-source components, including the Collabora Office suite, which are licensed under their own terms as described in the EULA. Collabora and Collabora Office are trademarks of Collabora Productivity Ltd; you may refer to them only to describe the Software accurately and must not suggest any endorsement by Collabora Productivity Ltd.
4.5 You must not remove copyright or third-party notices or the identification of IntFusion as licensor in the EULA, or make commitments about the Software on our behalf.
4.6 While these Terms apply to you, you must not, directly or through any company you control, resell, distribute, promote or white-label a Competing Product, except Competing Products you already sold before your account was opened and told us about in writing at that time. A Competing Product is software marketed mainly as a PC optimisation, clean-up or driver-update suite, or as a combined PC care and security suite similar to NG PC Suite. You can end this restriction by closing your account under section 21.3 once your Licences have expired.
4.7 For 12 months after these Terms stop applying to you, you must not, directly or through any company you control, supply or promote a Competing Product to any of your customers to which you supplied NG PC Suite in the 12 months before that date, and you must never use our confidential information to develop or market a Competing Product. We consider these restrictions reasonable and necessary to protect our investment in your NG PC Suite business, its client connections and our confidential information. Each restriction is separate, so if one is unenforceable the others still apply.
5. Your responsibilities for your End Users
5.1 Before an End User installs or uses the Software, you must require them to accept either the EULA (which you may present under your brand) or your own end-user terms that are no less protective of IntFusion and the Software.
5.2 You are responsible for: (a) your contracts with End Users, including prices, billing, cancellations, refunds and any consumer law obligations; (b) first-line support for End Users; (c) giving End Users a privacy notice and having a lawful basis for the processing in section 14; (d) your End Users' compliance with the EULA; (e) installing the Software only on devices whose owner has authorised it; and (f) all activity on, and security of, your Client Portal account.
5.3 End Users have no contract with us for the purchase of the Software. Our money-back guarantee, service credits and support commitments are given to you only. End Users, including your customers, cannot claim refunds or credits from us and must deal with you under your own terms.
6. Prices, VAT and currency
6.1 All prices are in pounds sterling (GBP) and exclude VAT, which is added at the applicable rate and shown before you place an Order. For businesses outside the United Kingdom, the reverse charge may apply where you give a valid VAT or tax number. Any currency conversion fees charged by your bank are yours.
6.2 We may change our prices from time to time. The price on your invoice is fixed for that Order.
7. Invoices and payment
7.1 Invoices. Every Order generates an invoice, which we email to you and which is available in the Client Portal. Invoices are due within 30 days of the invoice date. Nothing is dispatched until the invoice is paid, and an Order whose invoice is still unpaid 30 days after its date lapses at no cost to you. Where we agree in writing to dispatch before payment (credit), the invoice must be paid in full within 30 days of its date, without set-off or deduction.
7.2 Card payments. You can pay by card in the Client Portal for Orders of products placed there whose total, including VAT, is £7,000 or less, whether the Order is for one product or several. Card payments are not accepted for services such as software development, IT support or consulting. Card payments are processed by a PCI DSS-compliant payment service provider. Card details are entered directly into our provider's secure systems over an encrypted connection, with 3-D Secure and Strong Customer Authentication where supported. We never see or store full card numbers, and no card is ever charged automatically. The invoice is marked paid automatically once our provider confirms the payment. Charges appear on your card statement as INTFUSION LTD.
7.3 Bank transfer. Bank transfer is available for all Orders and must be used for Orders over £7,000 including VAT and for all services, by Faster Payments from UK accounts or by SWIFT from outside the UK. Please quote your invoice number as the reference. Our team checks the payment and marks the invoice paid manually. Any charges made by your bank are yours, and we must receive the full invoice amount.
7.4 Disputed invoices. If you dispute an invoice in good faith, tell us in writing with reasons within 30 days of the invoice date and pay any undisputed amount on time. Amounts charged in error are refunded or credited in full.
7.5 Late payment. We may charge interest and fixed compensation on any overdue sum (including any amount payable under section 11.4) under the Late Payment of Commercial Debts (Interest) Act 1998 (currently 8% a year above the Bank of England base rate, plus £40, £70 or £100 depending on the size of the debt, and reasonable recovery costs), and may suspend the Software under section 20.
8. Delivery and activation
8.1 The Software is delivered digitally; nothing is shipped and there are no delivery charges.
8.2 Nothing is dispatched until the invoice is marked paid. For card payments this happens automatically once our provider confirms the payment, and your Licences, licence keys and download files are then generated and dispatched automatically and immediately. For bank transfers, they are dispatched within 24 hours of the funds being received in our account.
8.3 Licence keys, download links and access details are emailed to your account email address and appear in the Client Portal with your administration console. Delivery takes place when they are made available. If you have not received them, please contact us through the Client Portal.
9. Licence term, expiry and cancellation
9.1 Each Licence ends automatically at the end of its 12-month term. We may remind you before Licences expire, but no payment is ever taken automatically.
9.2 You may cancel an Order at no cost at any time before its invoice is paid, by email to sales@intfusion.net or a ticket in the Client Portal. Once an Order is paid and dispatched, refunds are available only under sections 10, 11, 14.4, 17.1, 18.2 and 21 and the Return & Refund Policy. Unused Licences and unexpired Licence time are not otherwise refundable.
10. 30-day money-back guarantee
10.1 Every Order of NG PC Suite, Lite or Pro, of any quantity or value, has a 30-day money-back guarantee. No reason is needed.
10.2 Only you, as the business that bought directly from us, can claim. The guarantee can be used once per product per Customer; you and your Group count as one Customer, including where a claim is made under a different name or account.
10.3 Claims must be made by email or Client Portal ticket within 30 days of the date the Licences in the Order were issued. We deactivate the Licences, you confirm deletion of all copies in writing, and we refund the amount paid for that Order to the original payment method within 14 days of confirming your request.
10.4 The full procedure and the narrow exclusion for separately quoted services are in the Return & Refund Policy.
11. Refunds, chargebacks and disputes
11.1 Refunds go only to the original payment method (the same card, or the bank account the payment came from) and typically appear within 5 to 10 Business Days, depending on your bank. Duplicate or incorrect charges are always refunded in full once verified.
11.2 If you have a concern about a charge, please contact us at sales@intfusion.net or through the Client Portal before contacting your card issuer. A fully refunded amount cannot also be recovered through a chargeback.
11.3 We keep evidence of each Order (including your account records, the time and IP address of acceptance of these Terms, the paid invoice, and licence dispatch, activation and usage logs) and may share it with our payment provider and card issuers in a dispute.
11.4 If you raise a chargeback for a payment you authorised without first giving us a reasonable opportunity to resolve the issue, we may suspend the affected Licences while it is open. If the dispute is decided in our favour or withdrawn, you must pay the amount disputed and any dispute fees our payment provider charged us, which we may recover as a debt.
12. Support and service level
12.1 We provide 24/7 ticket-based support to you through the Client Portal. You provide first-line support to your End Users and escalate to us where needed.
12.2 We target 99.9% availability in each calendar month for the Platform's licensing, activation and management services, measured by our monitoring as the percentage of minutes in the month in which they are available. Downtime is ignored if caused by: (a) scheduled maintenance notified at least 48 hours in advance by email or in the Client Portal, and emergency security maintenance; (b) you, your End Users or their devices, networks or software; (c) events under section 23; (d) third-party networks outside our control; or (e) suspension under section 20.
12.3 If availability in a calendar month falls below 99.9%, you are entitled to the following service credit:
| Monthly availability | Service credit |
|---|---|
| Below 99.9% but at least 99.0% | 10% of the monthly fee |
| Below 99.0% but at least 95.0% | 25% of the monthly fee |
| Below 95.0% | 50% of the monthly fee |
12.4 The monthly fee is one twelfth of the price you paid for the Licences that were active in that month. Credits are capped at 50% of the monthly fee, must be claimed through the Client Portal within 30 days after the month ends, and are applied to your next invoice or, if all your Licences have expired or the contract has ended, refunded on request. The service level does not apply to the Free evaluation.
12.5 Service credits are your sole financial remedy for Platform unavailability. This does not limit your right to terminate under section 21.2, and availability below 99.0% in three or more months in any 12-month period is a material breach for that purpose.
13. Acceptable use
You must comply, and make your End Users comply, with our Acceptable Use Policy. In particular, you must not install the Software on a device without its owner's authority, misrepresent what it does, circumvent licensing, device locking or security, or reverse engineer it except as permitted by law.
14. Data protection
14.1 Roles. Each party will comply with the UK GDPR and the Data Protection Act 2018. We are a controller of your account, billing and contact data, as described in our Privacy Policy. For personal data about End Users and their devices that the Platform processes for you ("End User Data"), you are the controller and we are your processor, and this section is the contract required by Article 28 of the UK GDPR.
| Item | Details |
|---|---|
| Subject matter and duration | Providing the Software and Platform for the term of your Licences and the retention and deletion periods in sections 14.8 and 14.9. |
| Nature and purpose | Licence activation and device locking, preventing misuse, updates, support and security; and, for Pro Licences, storing and syncing End Users' end-to-end encrypted password vaults. |
| Types of personal data | Activation data only: IP address, device name, device type, hardware ID and licence key ID. For Pro Licences, also encrypted password vault data, which we cannot decrypt or read. We do not receive End Users' names, email addresses, files, scan results, contacts, tasks or calendars. |
| Data subjects | Your End Users and the users of their devices. |
14.2 Instructions. We process End User Data only on your documented instructions (including these Terms and your configuration of the Software), unless the law requires otherwise, in which case we will tell you first where lawful. We will tell you if we believe an instruction infringes data protection law.
14.3 Confidentiality and security. Our authorised personnel are bound by confidentiality, and we implement appropriate technical and organisational measures under Article 32 of the UK GDPR.
14.4 Sub-processors. We do not sell End User Data or share it with third parties. Our only sub-processors are infrastructure hosting providers that store data on our behalf and do not use it for their own purposes. You give general written authorisation for their use, and we will give you details on request. We will give at least 30 days' notice of any change; you may object on reasonable grounds and, if we cannot resolve the objection, end the affected Licences with a pro-rated refund for their unexpired term. We impose equivalent data protection obligations on sub-processors and remain responsible for them.
14.5 Assistance and breaches. We will reasonably assist you with data subject requests, security, impact assessments and prior consultations. We will notify you without undue delay after becoming aware of a personal data breach affecting End User Data, with the information you reasonably need.
14.6 International transfers. We transfer End User Data outside the United Kingdom only where UK adequacy regulations apply or the transfer is protected by the UK International Data Transfer Agreement or the UK Addendum to the EU Standard Contractual Clauses.
14.7 Audit. We will provide the information reasonably needed to demonstrate compliance with this section and allow audits on 30 days' notice, once a year (more often if a regulator requires or after a breach), subject to confidentiality.
14.8 Return and deletion. When your last Licence expires or the contract ends, you may export activation data through the console for 30 days. We then delete it from our live systems unless the law requires us to keep it (for example, as order evidence under section 11.3), and backup copies are deleted within a further 30 days.
14.9 Password vaults (Pro). When a Pro Licence ends, including when it expires, is refunded or is deactivated, the End User's encrypted password vault is kept for 180 days, so that the End User can continue with a new Licence or export their data, and is then permanently deleted. Backup copies are deleted within a further 30 days. Contacts, tasks and calendar sync takes place directly between End Users' own devices and is not stored by us.
14.10 Third-party tools. Tools bundled with the Software, including Collabora Office and the tools available through the AI tools hub, and the online sources used for driver and software updates, may process data themselves under their own terms. We do not receive that data, and it is not End User Data under this section.
15. Confidentiality
Each party will keep the other's confidential information (including non-public pricing, technical and business information) confidential and use it only to perform this contract. Each may disclose it to staff, subcontractors and professional advisers who need to know it and are bound by confidentiality, or where required by law or a regulator. This does not apply to information that is or becomes public other than through a breach, or that the recipient already knew, developed independently or lawfully received from a third party. This section survives termination for five years.
16. Intellectual property
We and our licensors own all intellectual property rights in the Software, Platform and documentation; you receive only the rights expressly granted. You own your brand materials and the data you provide. We may use any feedback you give us freely.
17. Warranties
17.1 We warrant that the Software will perform materially in accordance with its documentation, that we will provide our services with reasonable skill and care, and that we use reasonable measures to keep the Software free of malicious code. If it does not, tell us through the Client Portal and we will, at our option, correct the issue, provide a workaround or refund the fees paid for the affected Licences for the affected period, as your sole remedy for breach of this warranty.
17.2 Results vary by device; we do not warrant that the Software will improve every device or operate without error. End Users must keep backups and confirm changes as described in the EULA.
17.3 You warrant that you have authority to enter into this contract, that you will comply with all laws that apply to your supply of the Software and that your brand materials infringe no one's rights.
17.4 All other warranties, conditions and terms implied by law are excluded to the extent the law permits.
18. Indemnities
18.1 You will indemnify us against losses, costs (including reasonable legal fees) and claims arising from any promise you make to End Users beyond the EULA, your brand materials, your breach of section 5 or your unlawful use or supply of the Software.
18.2 We will indemnify you against amounts awarded against you, or agreed by us in settlement, on a third-party claim that the Software as supplied by us, used in accordance with these Terms, infringes that party's UK intellectual property rights. This excludes claims caused by your brand materials, changes not made by us, combination with items we did not supply or use in breach of these Terms. We may instead obtain the right for you to keep using the Software, modify it, or end the affected Licences and refund the fees for their unexpired term. This section is subject to section 19.3 and is your sole remedy for infringement claims.
18.3 A party seeking an indemnity must notify the other promptly, let it control the defence and settlement, give reasonable assistance at its cost and make no admission without its consent.
19. Limitation of liability
19.1 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be limited or excluded.
19.2 Subject to section 19.1, neither party is liable for loss of profits, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss, and we are not liable for loss or corruption of data that reasonable backups would have avoided.
19.3 Subject to section 19.1, each party's total liability arising under or in connection with this contract, whether in contract, tort (including negligence) or otherwise, is limited to the lower of (a) the total fees paid and payable by you in the 12 months before the event giving rise to the claim and (b) £10,000. This cap does not apply to your obligation to pay invoices or to your indemnity in section 18.1.
19.4 Subject to section 19.1, our total liability in connection with a Free evaluation is limited to £100.
19.5 The parties consider these limits reasonable for the purposes of the Unfair Contract Terms Act 1977, having regard to the price and the availability of insurance.
20. Suspension
We may suspend your account or your End Users' Licences, in whole or part: (a) if any undisputed amount due to us remains unpaid 14 days after we notify you in writing that it is overdue; (b) if you or your End Users materially breach section 13 and do not remedy it within a reasonable time after notice; (c) as described in section 11.4, while a chargeback is open; or (d) immediately where needed to prevent a serious security risk, legal violation or harm to the Platform or others, notifying you as soon as possible. We will restore access promptly once the cause is resolved. Suspension under (a) to (c) does not extend the term of any Licence.
21. Term, termination and discontinuation
21.1 These Terms apply from when your account is opened and continue while you have an account or any Licence remains active.
21.2 Either party may terminate immediately by written notice if the other commits a material breach that is incapable of remedy or not remedied within 30 days after notice, or becomes insolvent, enters administration or liquidation, or ceases to trade.
21.3 You may close your account at any time by notice. Licences already dispatched continue until they expire, and these Terms continue to apply to them, unless you ask us to deactivate them. We may close an account that has no active Licences or unpaid Orders on 30 days' notice.
21.4 We may stop selling NG PC Suite or an edition on at least 6 months' written notice. Licences already paid for will keep working until they expire; if we cannot keep them working until then, we will refund the fees for their unexpired term pro rata.
21.5 On termination under section 21.2, all Licences are deactivated, End Users must stop using the branded Software and its online features stop working, you must stop supplying it and all unpaid amounts become due. If you terminate for our breach, we refund the fees for the unexpired term of your Licences pro rata; otherwise refunds are available only under sections 10 and 11. Sections 14.8 and 14.9 apply to End User Data. Sections 4.7, 11, 14, 15, 16, 18, 19, 21.5, 26 and 27 survive termination.
22. Export controls and sanctions
The Software is subject to UK export control and sanctions laws. You must not supply or allow access to it in breach of those laws, including to any person or country subject to UK, UN, EU or US sanctions, and you confirm that you and your owners are not sanctioned. We may refuse to open accounts, refuse or cancel Orders and suspend Licences where we reasonably believe this section would be breached.
23. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, provided it notifies the other and takes reasonable steps to mitigate. This does not excuse payment obligations. If such an event lasts more than 60 days, either party may terminate on written notice.
24. Changes to these Terms
We may update these Terms. Updated Terms apply to Orders placed after they are published, and the Client Portal shows them before you place your next Order. Licences already dispatched remain governed by the Terms accepted for their Order, except for changes required by law or for security, which we will notify by email at least 30 days in advance where possible. Changes to section 14 (data protection) for Licences already dispatched need your written agreement, unless the law requires them.
25. Customer service and notices
25.1 Customer service is provided by email at sales@intfusion.net and by 24/7 support tickets in the Client Portal.
25.2 Notices to us must be sent to sales@intfusion.net or through the Client Portal, and legal proceedings must be served at our registered office. Notices to you will be sent to your account email address. Emails sent outside 9am to 5pm UK time on a Business Day are treated as received at 9am on the next Business Day.
26. General
26.1 You may not assign or transfer this contract or any Licence without our written consent. We may assign it to a Group company or a successor to our business on notice, and may subcontract our obligations while remaining responsible for them.
26.2 This contract is the entire agreement between us, and terms in your purchase order or other documents do not apply. If you have signed a written agreement with us for NG PC Suite, that agreement applies instead of these Terms, including to Orders you place in the Client Portal. Neither party has relied on any statement not set out in it, but this does not limit liability for fraud. Except under section 24, a variation is valid only if agreed in writing (email is enough) by both parties.
26.3 Nothing in this contract creates a partnership, joint venture or agency. If any provision is invalid, the rest remains in force. Delay in enforcing a right is not a waiver. No third party may enforce this contract under the Contracts (Rights of Third Parties) Act 1999.
27. Governing law and jurisdiction
This contract and any dispute or claim (including non-contractual disputes or claims) arising from it are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
